Terms of Service

1. Acceptance

These terms of use are entered into by and between You (the "Customer") and SpeakerStacks, operating as ("SpeakerStacks", "Company", "we" or "us"). SpeakerStacks provides tools for users (speakers, organizers, and professionals) to create custom landing pages, collect contact details from event attendees, and manage that data through the platform. The following terms and conditions ("Terms of Use"), govern your access to and use of www.SpeakerStacks.com, including any content, functionality and services (the "Services") offered on or through www.SpeakerStacks.com and www.spst.app (the "Platform").

Please read the Terms of Use carefully before you start to use the Platform. By using the Platform or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound by and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Platform.

This Platform is offered and available to users who are 18 years of age or older. By using this Platform, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

2. Use of the Services

Subject to the terms of this Agreement, SpeakerStacks hereby grants Customer a limited, personal, non-sublicensable, non-transferable, non-exclusive license to use the Services only for Customer's internal or business use for the purpose for which it is provided and only in accordance with any SpeakerStacks-provided documentation (including as provided electronically).

The Services include access to SpeakerStacks's software-as-a-service Services ("Software"), and/or related services.

In the event Customer purchases additional modules or add-ons to Services (including, without limitation, any features or functions that SpeakerStacks charges other customers for), they will be deemed "Services" and, therefore, subject to this Agreement (unless SpeakerStacks provides them pursuant to different terms and conditions). With respect to any Customer proposed modifications, derivatives, enhancements or improvements to the Services ("Feedback"), Customer hereby grants SpeakerStacks a perpetual, irrevocable, royalty-free, fully paid-up, sub-licensable right and license to use, display, reproduce, distribute and otherwise fully exploit such Feedback for any purposes. All Feedback is provided by Customer "AS IS."

3. Accessing the Service and Account Security

We reserve the right to withdraw or amend the Service, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to users, including registered users.

You are responsible for:

Making all arrangements necessary for you to have access to the Platform.

Ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and comply with them.

To access the Platform or some of the resources it offers, you will be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current and complete. You agree that all information you provide to register with this Platform or otherwise, including but not limited to through the use of any interactive features on the Platform, is governed by our Privacy Policy.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

4. Data Ownership & Intellectual Property Rights

You retain full ownership of any data (including Leads' personal information) collected through your landing pages and stored on the Platform. You are solely responsible for determining the means and purposes for processing the collected data through your landing pages (e.g. legal basis and marketing communications). SpeakerStacks processes such Lead data solely on your behalf and according to your instructions, acting as your data processor. The Platform and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Platform for your personal use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Platform, except as follows:

Your documentation contents produced through the Services.

Your computer may temporarily store copies of such materials in RAM, incidental to your accessing and viewing those materials.

You may store files that are automatically cached by your Web browser for display enhancement purposes.

If we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

You must not:

Modify copies of any materials from this site, apart from the documentation generated by your usage of the Services.

Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the Platform or any services or materials available through the Platform.

If you wish to make any use of material on the Platform other than that set out in this section, please address your request to: [mail@SpeakerStacks.com]

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Platform in breach of the Terms of Use, your right to use the Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Platform or any content on the Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

5. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Platform:

  • In any way that violates any applicable Shariah, federal, state, local or international law or regulation.
  • For the purpose of exploiting, harming or attempting to exploit or harm minors in any way.
  • To transmit any advertising or promotional material without our prior written consent.
  • To impersonate or attempt to impersonate the Company or any other person or entity.
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform.

Additionally, you agree not to:

  • Copy, modify, resell or distribute the Services.
  • Reverse engineer or attempt to discover the source code of the Services.
  • Rent, lease, or use the Services for timesharing or service bureau purposes.
  • Use the Services to develop other products or services.
  • Introduce any malicious code or attempt to interfere with the Platform.
  • Create multiple user accounts in the Platform.
  • Use the Services for benchmarking activities.

6. Fees

SpeakerStacks shall provide the service, and you agree to pay for the service in accordance with the available price listing at the time of purchase, as applicable. You agree to pay by the means of payment and in the currency requested by SpeakerStacks.

If Customer provides SpeakerStacks with debit card information for payment, (i) Customer acknowledges that an invoice may not be sent, (ii) Customer authorizes SpeakerStacks to charge the credit card for the Services and (iii) Customer will ensure that the credit card number (and all information provided to SpeakerStacks for processing the card) will remain updated and accurate.

SpeakerStacks reserves the right to modify its fees and charges and to introduce new charges at any time, upon at least 30 days prior notice to the Customer, which may be sent by email or posted on the Platform.

7. Indemnity

SpeakerStacks warrants to Customer that the Services will conform materially with the Documentation. Customer acknowledges that SpeakerStacks does not otherwise warrant that the Services is free of errors or defects or that use will be uninterrupted. In the event of a breach of this Section, Customer's sole remedy, and SpeakerStacks's exclusive liability, shall be for SpeakerStacks to use commercially reasonable efforts to correct any such defect(s); provided that, Customer specifically notifies SpeakerStacks in writing of the defect(s) within thirty (30) days from the date Customer first experiences the defect. Such corrections will be in accordance with SpeakerStacks's standard practices (such as bug fix queues and release cycles) that it provides to its other general Customers. This Section 7 will not apply if the Services is provided on a trial, evaluation, or otherwise free basis ("Evaluation Basis").

Customer shall indemnify and hold harmless SpeakerStacks from any claims, damages, losses, penalties, fines, liabilities, costs and fees (including reasonable attorney fees) arising from Customer's use of the Services as well as from Customer's negligence, willful misconduct or failure to comply with any term of this Agreement.

8. Warranty Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 7 HEREIN, SPEAKERSTACKS AND ITS SUPPLIERS PROVIDE THE SERVICES "AS IS" AND WITHOUT WARRANTY OF ANY KIND, AND HEREBY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS SO THE FOREGOING LIMITATIONS MAY NOT APPLY TO CUSTOMER. NOTWITHSTANDING ANY OF THE FOREGOING (INCLUDING SECTION 7) – NO WARRANTIES OF ANY KIND ARE MADE WITH RESPECT TO THE SERVICES IF IT IS PROVIDED ON AN EVALUATION BASIS.

9. Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO, TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, SHALL SPEAKERSTACKS OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO CUSTOMER OR ANY OTHER PERSON IN CONNECTION WITH THE SERVICES OR ANY OTHER SUBJECT MATTER OF THIS AGREEMENT FOR ANY: (I) INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, COMPUTER FAILURE OR MALFUNCTION, (II) ANY AMOUNTS IN THE AGGREGATE IN EXCESS OF THE FEES PAID BY CUSTOMER HEREUNDER DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE THE CAUSE OF ACTION ACCRUES (BUT IF NO FEES HAVE BEEN PAID, SUCH AS IF THE SERVICES IS PROVIDED ON AN EVALUATION BASIS, THE DAMAGES CAP WILL BE US$1,000.00), (III) THE COST OF PROCUREMENT OF SUBSTITUTE TECHNOLOGY OR SERVICES OR (IV) MATTERS BEYOND ITS REASONABLE CONTROL. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF SPEAKERSTACKS SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSION MAY NOT APPLY TO CUSTOMER.

10. Term and Termination

The service is provided for an indefinite period of time commencing from the successful account registration of the User and lasts until the account is terminated. The service is also made available on a subscription basis based on the chosen subscription plan (the "Subscription Term"). Thereafter, it will automatically renew for successive renewal subscription terms of equal length to its initial subscription term, unless either party provides the other party with written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current subscription term.

Either party may terminate the Subscription Term agreement on written notice if the other party:

  • Fails to cure any material breach of this Agreement within thirty (30) days after written notice (ten (10) days in the case of non-payment or in the event Customer breaches any license or use restrictions) provided that, the breach notice must provide sufficient detail regarding the breach and expressly state the intent to terminate if not cured;
  • Ceases operation without a successor; or
  • Seeks protection under any bankruptcy, receivership, trust deed, creditors' arrangement, composition, or comparable proceeding, or if any such proceeding is instituted against that party (and not dismissed within ninety (90) days thereafter).

In addition, SpeakerStacks may suspend access to the Services, with or without notice, if Customer is more than ten (10) days late with any payment hereunder. With respect to Customer's breach of its payment obligations, or any license or use restrictions, electronic notice to Customer is sufficient hereunder.

Any termination of this Agreement shall also terminate the licenses granted hereunder. Upon termination of this Agreement for any reason, Customer shall destroy and remove from all computers, hard drives, networks, and other storage media all copies of the Services, and shall, if requested by SpeakerStacks, so certify to SpeakerStacks in writing that such actions have occurred.

11. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non‑contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Emirate of Dubai and the applicable Federal Laws of the United Arab Emirates, without giving effect to any choice‑ or conflict‑of‑law provision or rule (whether of the Emirate of Dubai or any other jurisdiction).

Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Platform shall be instituted exclusively in the courts of Dubai, United Arab Emirates, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Waiver and Severability

No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

13. Entire Agreement and Changes to These Terms

The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and SpeakerStacks with respect to use of the Services and the Platform and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Platform.

We may revise and update these Terms of Use from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Platform.

Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time when you access this Platform, so you are aware of any changes, as they are binding on you.
